1. Definities1. Definitions
- RN Hosting: de dienstverlener, gevestigd te Amsterdam, Nederland, bereikbaar via helpdesk@rnhosting.com.
- Klant: de natuurlijke of rechtspersoon die een overeenkomst aangaat met RN Hosting.
- Diensten: alle door RN Hosting geleverde diensten, waaronder hosting, onderhoud, optimalisatie en maatwerk development.
- Overeenkomst: elke afspraak tussen RN Hosting en de klant over de levering van diensten.
- RN Hosting: the service provider, based in Amsterdam, the Netherlands, reachable at helpdesk@rnhosting.com.
- Client: the individual or legal entity entering into an agreement with RN Hosting.
- Services: all services provided by RN Hosting, including hosting, maintenance, optimization and custom development.
- Agreement: any arrangement between RN Hosting and the client concerning the delivery of services.
2. Toepasselijkheid2. Applicability
Deze voorwaarden zijn van toepassing op alle aanbiedingen, offertes, overeenkomsten en leveringen van diensten door RN Hosting, tenzij schriftelijk anders is overeengekomen. Algemene voorwaarden van de klant worden uitdrukkelijk van de hand gewezen, tenzij RN Hosting deze schriftelijk heeft aanvaard.
Indien een bepaling uit deze voorwaarden nietig blijkt te zijn, blijven de overige bepalingen onverminderd van kracht. RN Hosting en de klant treden in dat geval in overleg om een vervangende bepaling overeen te komen die de strekking van de oorspronkelijke bepaling zoveel mogelijk benadert.
These terms apply to all offers, quotes, agreements and services provided by RN Hosting, unless otherwise agreed in writing. Any general terms and conditions of the client are explicitly rejected, unless accepted in writing by RN Hosting.
If any provision of these terms is found to be invalid, the remaining provisions remain in full force. In that case, RN Hosting and the client will consult to agree on a replacement provision that reflects the intent of the original as closely as possible.
3. Aanbiedingen en offertes3. Offers and quotes
Alle aanbiedingen en offertes van RN Hosting zijn vrijblijvend, tenzij uitdrukkelijk anders vermeld, en gelden voor de duur die in de offerte is aangegeven (of, bij ontbreken daarvan, 30 dagen). Een overeenkomst komt tot stand op het moment dat de klant een offerte schriftelijk of digitaal accepteert, of zodra RN Hosting met uitvoering van de dienst begint op verzoek van de klant.
Kennelijke fouten of vergissingen in een offerte binden RN Hosting niet.
All offers and quotes from RN Hosting are non-binding unless explicitly stated otherwise, and are valid for the period stated in the quote (or, if none is stated, 30 days). An agreement is formed when the client accepts a quote in writing or digitally, or as soon as RN Hosting begins performing the service at the client's request.
Obvious errors or mistakes in a quote do not bind RN Hosting.
4. Prijzen en betaling4. Pricing and payment
Alle vermelde prijzen zijn in euro’s en exclusief btw, tenzij anders aangegeven. Hostingpakketten en onderhoudspakketten worden maandelijks of jaarlijks vooraf gefactureerd. Maatwerkprojecten worden gefactureerd volgens de in de offerte overeengekomen betaalmomenten, of op uurbasis achteraf.
Betaling dient te geschieden binnen 14 dagen na factuurdatum, tenzij anders overeengekomen. Bij het uitblijven van tijdige betaling is de klant van rechtswege in verzuim en is RN Hosting gerechtigd wettelijke handelsrente en redelijke incassokosten in rekening te brengen. RN Hosting behoudt zich het recht voor diensten op te schorten bij achterstallige betaling, na voorafgaande waarschuwing.
Prijzen kunnen jaarlijks worden geïndexeerd. Overige prijswijzigingen worden minimaal 30 dagen van tevoren aangekondigd; bij een substantiële verhoging heeft de klant het recht de overeenkomst tegen de ingangsdatum van de wijziging op te zeggen.
All prices stated are in euros and exclude VAT, unless indicated otherwise. Hosting and maintenance packages are invoiced monthly or annually in advance. Custom projects are invoiced according to the payment milestones agreed in the quote, or hourly in arrears.
Payment must be made within 14 days of the invoice date, unless otherwise agreed. If payment is not made on time, the client is automatically in default, and RN Hosting is entitled to charge statutory commercial interest and reasonable collection costs. RN Hosting reserves the right to suspend services in case of overdue payment, following prior warning.
Prices may be indexed annually. Other price changes will be announced at least 30 days in advance; in the event of a substantial increase, the client has the right to terminate the agreement as of the effective date of the change.
5. Uitvoering van de overeenkomst5. Performance of the agreement
RN Hosting spant zich in om de diensten met zorg en naar beste kunnen uit te voeren, in lijn met wat in de branche gebruikelijk is. Genoemde termijnen zijn indicatief, tenzij uitdrukkelijk als fatale termijn overeengekomen.
Voor de uitvoering is RN Hosting afhankelijk van tijdige en juiste informatie en medewerking van de klant (zoals toegang tot systemen, content en feedback). Vertraging die hierdoor ontstaat, komt niet voor rekening van RN Hosting.
RN Hosting will perform the services with due care and to the best of its ability, in line with what is customary in the industry. Stated timelines are indicative, unless explicitly agreed as a binding deadline.
Performance depends on timely and accurate information and cooperation from the client (such as system access, content and feedback). Delays resulting from this are not attributable to RN Hosting.
6. Hosting-diensten6. Hosting services
RN Hosting streeft naar een uptime van 99,9% op maandbasis, exclusief gepland onderhoud. Gepland onderhoud wordt waar redelijkerwijs mogelijk vooraf aangekondigd en zoveel mogelijk buiten kantooruren uitgevoerd.
Back-ups worden uitgevoerd conform het gekozen hostingpakket (zie de pakketspecificaties op onze website). Een back-up is een aanvullende voorziening en ontslaat de klant niet van de eigen verantwoordelijkheid om belangrijke content elders te bewaren.
Het is niet toegestaan de hostingomgeving te gebruiken voor illegale content, spamverzending, het verspreiden van malware, of activiteiten die de infrastructuur van RN Hosting of derden onevenredig belasten. Bij overtreding kan RN Hosting de dienst zonder voorafgaande waarschuwing opschorten.
RN Hosting aims for 99.9% uptime on a monthly basis, excluding planned maintenance. Planned maintenance is announced in advance where reasonably possible and scheduled outside office hours as much as possible.
Backups are performed in accordance with the chosen hosting package (see the package specifications on our website). A backup is a supplementary provision and does not relieve the client of their own responsibility to store important content elsewhere.
It is not permitted to use the hosting environment for illegal content, sending spam, distributing malware, or activities that place a disproportionate burden on RN Hosting' infrastructure or that of third parties. In the event of a violation, RN Hosting may suspend the service without prior warning.
7. Onderhoudsdiensten7. Maintenance services
Onderhoudspakketten omvatten de werkzaamheden zoals beschreven op de website (updates, back-ups, beveiligingscontroles, monitoring en beperkte contentwijzigingen). Werkzaamheden die buiten de omschreven reikwijdte vallen, worden op uurbasis in rekening gebracht na overleg met de klant.
RN Hosting test updates waar mogelijk voordat deze worden toegepast, maar kan niet garanderen dat een update van WordPress, een plugin of thema van derden nooit tot compatibiliteitsproblemen leidt. Bij problemen na een update zet RN Hosting de laatste back-up terug en lost het probleem zonder extra kosten op, mits het onderhoudspakket actief was op het moment van de update.
Maintenance packages cover the activities described on the website (updates, backups, security checks, monitoring and limited content changes). Work falling outside this scope is billed hourly, following consultation with the client.
RN Hosting tests updates where possible before applying them, but cannot guarantee that an update to WordPress, or a third-party plugin or theme, will never cause compatibility issues. If problems occur after an update, RN Hosting will restore the most recent backup and resolve the issue at no additional cost, provided the maintenance package was active at the time of the update.
8. Maatwerk en intellectueel eigendom8. Custom work and intellectual property
Tenzij schriftelijk anders overeengekomen, berusten alle rechten van intellectuele eigendom op door RN Hosting in het kader van de overeenkomst ontwikkelde maatwerkoplossingen (waaronder broncode, ontwerpen en documentatie) bij RN Hosting, totdat de klant volledig aan zijn betalingsverplichtingen heeft voldaan. Na volledige betaling gaat een niet-exclusief, overdraagbaar gebruiksrecht over op de klant voor de betreffende oplossing, tenzij schriftelijk een volledige overdracht van rechten is overeengekomen.
Door RN Hosting gebruikte software van derden (zoals WordPress, WooCommerce en plugins) blijft onderworpen aan de licentievoorwaarden van de betreffende leverancier.
Unless agreed otherwise in writing, all intellectual property rights to custom solutions developed by RN Hosting under the agreement (including source code, designs and documentation) remain with RN Hosting until the client has fully met their payment obligations. Following full payment, a non-exclusive, transferable right of use for the relevant solution passes to the client, unless a full transfer of rights has been agreed in writing.
Third-party software used by RN Hosting (such as WordPress, WooCommerce and plugins) remains subject to the license terms of the respective supplier.
9. Verplichtingen van de klant9. Client obligations
De klant staat in voor de juistheid en rechtmatigheid van de door hem aangeleverde content, gegevens en materialen, en vrijwaart RN Hosting voor aanspraken van derden die hieruit voortvloeien (waaronder inbreuk op auteursrecht of andere rechten van derden).
De klant is verantwoordelijk voor het geheimhouden van eigen inloggegevens en meldt vermoedelijk misbruik hiervan direct aan RN Hosting.
The client is responsible for the accuracy and lawfulness of the content, data and materials it supplies, and indemnifies RN Hosting against third-party claims arising from these (including infringement of copyright or other third-party rights).
The client is responsible for keeping their own login credentials confidential and will immediately report any suspected misuse to RN Hosting.
10. Aansprakelijkheid10. Liability
De aansprakelijkheid van RN Hosting voor directe schade als gevolg van een toerekenbare tekortkoming is per gebeurtenis (een reeks samenhangende gebeurtenissen geldt als één gebeurtenis) beperkt tot het bedrag dat door de klant in de drie maanden voorafgaand aan de schadeveroorzakende gebeurtenis aan RN Hosting is betaald, met een maximum van € 5.000.
RN Hosting is nimmer aansprakelijk voor indirecte schade, waaronder gevolgschade, gederfde winst, gemiste besparingen of schade door bedrijfsstagnatie. Deze beperkingen gelden niet in geval van opzet of bewuste roekeloosheid van RN Hosting.
RN Hosting' liability for direct damages resulting from an attributable failure is, per event (a series of related events counts as one event), limited to the amount paid by the client to RN Hosting in the three months preceding the event causing the damage, with a maximum of €5,000.
RN Hosting is never liable for indirect damages, including consequential damages, lost profits, missed savings or damage due to business interruption. These limitations do not apply in the event of intent or deliberate recklessness on the part of RN Hosting.
11. Overmacht11. Force majeure
RN Hosting is niet gehouden tot nakoming van enige verplichting indien zij daartoe verhinderd is als gevolg van overmacht, waaronder begrepen storingen bij hostingpartners of internetproviders, stroomuitval, cyberaanvallen op infrastructuur van derden, en overheidsmaatregelen. Duurt de overmachtsituatie langer dan 30 dagen, dan hebben beide partijen het recht de overeenkomst te ontbinden voor het niet-uitvoerbare deel, zonder recht op schadevergoeding.
RN Hosting is not obliged to fulfil any obligation if prevented from doing so as a result of force majeure, including disruptions at hosting partners or internet providers, power outages, cyberattacks on third-party infrastructure, and government measures. If the force majeure situation lasts longer than 30 days, both parties have the right to dissolve the agreement for the part that cannot be performed, without a right to compensation.
12. Duur, opzegging en beëindiging12. Term, cancellation and termination
Hosting- en onderhoudsovereenkomsten worden aangegaan voor onbepaalde tijd met een facturatiecyclus van een maand of een jaar, en zijn maandelijks opzegbaar tenzij anders overeengekomen. Opzegging dient schriftelijk of per e-mail te geschieden, met inachtneming van een opzegtermijn van één maand voor het einde van de lopende factureringsperiode.
RN Hosting mag de overeenkomst met onmiddellijke ingang opschorten of beëindigen bij ernstige of herhaalde schending van deze voorwaarden door de klant, waaronder aanhoudende wanbetaling, zonder dat dit recht geeft op schadevergoeding.
Na beëindiging van een hostingovereenkomst wordt de klant in de gelegenheid gesteld gedurende 14 dagen een export van zijn gegevens op te vragen, waarna RN Hosting de gegevens definitief mag verwijderen.
Hosting and maintenance agreements are entered into for an indefinite period with a monthly or annual billing cycle, and can be cancelled monthly unless otherwise agreed. Cancellation must be made in writing or by email, observing a notice period of one month before the end of the current billing period.
RN Hosting may suspend or terminate the agreement with immediate effect in the event of a serious or repeated breach of these terms by the client, including persistent non-payment, without this giving rise to a right to compensation.
After termination of a hosting agreement, the client is given the opportunity to request an export of their data within 14 days, after which RN Hosting may permanently delete the data.
13. Klachten13. Complaints
Klachten over de uitvoering van de overeenkomst dienen zo spoedig mogelijk, doch uiterlijk binnen 14 dagen na het ontstaan ervan, schriftelijk te worden gemeld bij RN Hosting via helpdesk@rnhosting.com. RN Hosting streeft ernaar binnen vijf werkdagen inhoudelijk te reageren.
Complaints about the performance of the agreement must be reported in writing to RN Hosting via helpdesk@rnhosting.com as soon as possible, and no later than 14 days after they arise. RN Hosting aims to respond substantively within five working days.
14. Wijziging van de voorwaarden14. Changes to these terms
RN Hosting kan deze voorwaarden wijzigen. Wijzigingen worden minimaal 30 dagen voor inwerkingtreding gepubliceerd op deze pagina en, waar relevant, per e-mail aangekondigd. Gebruikt de klant de diensten na de ingangsdatum van de wijziging, dan wordt hij geacht met de gewijzigde voorwaarden akkoord te zijn gegaan.
RN Hosting may amend these terms. Changes will be published on this page at least 30 days before taking effect and, where relevant, announced by email. If the client continues to use the services after the effective date of the change, they are deemed to have accepted the amended terms.
15. Toepasselijk recht en geschillen15. Governing law and disputes
Op alle overeenkomsten tussen RN Hosting en de klant is Nederlands recht van toepassing. Geschillen die niet in onderling overleg kunnen worden opgelost, worden voorgelegd aan de bevoegde rechter in het arrondissement waar RN Hosting is gevestigd, tenzij dwingend recht anders voorschrijft.
All agreements between RN Hosting and the client are governed by Dutch law. Disputes that cannot be resolved through mutual consultation will be submitted to the competent court in the district where RN Hosting is based, unless mandatory law provides otherwise.
